Terms of Service

1. Company Information

Quantick is operated by Quantick Technologies LLC. References to "Quantick," "we," "us," or "our" in these Terms refer to this entity.

2. Definitions

For the purposes of these Terms:

"Services" means the Quantick website, applications, software, analytics, market-data tools, visualizations, educational materials, and related services made available by Quantick.

"User" means any person accessing or using the Services.

"Subscriber" means a User with an active paid subscription.

"Subscription" means a paid plan giving access to designated features of the Services for a recurring billing period.

"Account" means the registered profile through which a User accesses the Services.

"Market Data" means market, financial, trading, pricing, options, and related data obtained by Quantick or from third-party data providers.

"Content" means all information, data, text, analytics, and materials made available through the Services.

3. Eligibility

You must be at least 18 years old and legally capable of entering into a binding agreement to use the Services. By using Quantick, you represent and warrant that you meet these requirements.

4. Service Description

Quantick is a real-time market intelligence platform providing financial analytics and research tools. The Services may include, but are not limited to: real-time options flow, dark pool analytics, Gamma Exposure (GEX) analytics, dealer positioning, smart money tracking, insider trading activity, congressional trading activity, institutional ownership and activity, Commitments of Traders (COT), seasonality analysis, advanced charting tools, historical replay functionality, educational content and courses, and additional analytics and research features introduced over time.

The specific features, data, and tools available to you depend on the Subscription plan you select. We may modify, update, add, suspend, or discontinue individual features from time to time. Where a change materially reduces the core functionality of a paid Subscription, we will provide notice where reasonably practicable.

5. Subscription Plans and Access

Access to features, data, tools, usage limits, export capabilities, and other functionality may vary depending on the Subscription plan selected. Quantick reserves the right to define and enforce reasonable usage, rate, session, and access limits applicable to each plan.

6. Fair Use

You may use the Services only for ordinary personal or authorized business use consistent with your Subscription. Excessive automated requests, abnormal traffic, systematic extraction, scraping, or other activity that places an unreasonable burden on the Services or interferes with other users may be restricted or suspended.

7. Market Data

Quantick aggregates Market Data from public records and third-party data providers, which may include SEC filings, CFTC reports, exchange data, third-party market-data vendors, historical market datasets, and other publicly available financial sources.

Some Market Data is supplied by external providers. Availability, accuracy, completeness, and timeliness depend on those providers. Data may be delayed, corrected, revised, canceled, unavailable, or interrupted without prior notice.

Certain Market Data and other Content may be provided by exchanges, licensors, or data vendors and may be subject to additional terms, restrictions, and usage rights imposed by those providers. You agree to comply with all applicable restrictions relating to such data.

8. Not Financial Advice

Quantick is an analytics and research platform. Nothing on the platform constitutes financial advice, investment advice, trading advice, tax advice, legal advice, or fiduciary advice.

No Content should be interpreted as a recommendation to buy, sell, or hold any financial instrument. You are solely responsible for your own investment and trading decisions. Past performance, historical data, seasonality, institutional activity, options flow, gamma exposure, or any other analytics do not guarantee future results.

9. No Broker or Advisory Relationship

Quantick is a technology and financial-data analytics platform. Quantick is not a broker-dealer, investment adviser, financial planner, portfolio manager, fiduciary, or trading-execution service. Your use of the Services does not create any broker-client, adviser-client, fiduciary, agency, or other advisory relationship between you and Quantick.

10. No Trading Execution

Quantick does not execute, route, clear, settle, custody, or otherwise handle any securities or derivatives transactions.

11. No Reliance

Quantick's rankings, scores, indicators, analytics, signals, visualizations, and other outputs are provided for informational and analytical purposes only. You should not rely on any individual output as the sole basis for making an investment or trading decision.

12. Data Accuracy

We strive to provide reliable and timely information. However, we make no representations or warranties regarding the accuracy, completeness, reliability, availability, or timeliness of any data displayed on the platform. You should independently verify all information before making financial decisions.

13. Availability of Services

We do not guarantee uninterrupted availability of the Services. The platform may become temporarily unavailable due to scheduled maintenance, software updates, infrastructure failures, internet disruptions, third-party outages, market-data provider issues, or events beyond our reasonable control. We are not liable for losses resulting from temporary interruptions.

14. Accounts and Account Security

You are responsible for maintaining the confidentiality of your Account credentials, for providing accurate registration information and keeping it up to date, and for all activities occurring under your Account.

You must promptly notify Quantick of any unauthorized access to or use of your Account. We may require additional verification, or temporarily restrict access, where we reasonably suspect unauthorized access, fraud, or a security compromise.

15. Acceptable Use

You agree not to: share your Account with others; resell access to the platform; scrape or harvest platform data; reverse engineer the platform; copy or redistribute Market Data; attempt unauthorized access; interfere with platform security; bypass rate limits or usage restrictions; use bots or automated systems without authorization; create competing commercial products using Quantick data; or engage in fraudulent or abusive activity.

Violation of these rules may result in immediate suspension or termination.

16. API and Automated Access

Unless explicitly authorized by Quantick, automated access, bots, scripts, scraping, or API usage is prohibited. Any authorized API access remains subject to separate usage limits and policies.

17. Subscriptions and Billing

Subscriptions are billed monthly or annually and are securely processed by our payment provider. Subscriptions renew automatically unless canceled before the next billing cycle. You may cancel at any time through your account dashboard; following cancellation, access remains active until the end of the current billing period.

We may change Subscription pricing with reasonable advance notice. Existing Subscribers will retain their current pricing until the next renewal period unless otherwise stated. Cancellations, renewals, and refunds are further governed by our Refund and Cancellation Policy.

18. Taxes and Currency

Subscription prices are displayed in the currency shown at checkout. You are responsible for any taxes, duties, levies, bank charges, foreign-exchange fees, or other charges applicable to your purchase, except where Quantick is legally required to collect and remit such amounts.

19. Intellectual Property

Quantick retains all rights in its software, source code, user interface, visualizations, algorithms, proprietary analytics, branding, trademarks, documentation, educational materials, charts, indicators, databases, and original Content.

You may not copy, reproduce, distribute, publish, modify, sublicense, sell, or commercially exploit any portion of the platform without prior written permission. Data exports are permitted solely for your own personal, non-commercial use.

Third-party Market Data and materials remain subject to the rights and licenses of their respective owners and are not owned by Quantick.

20. User Content

You retain ownership of content you submit to the Services, including support requests, files, images, notes, and other materials. You grant Quantick a limited, non-exclusive license to host, store, reproduce, process, and display such content solely as reasonably necessary to provide, secure, maintain, and improve the Services.

21. Third-Party Services

Quantick integrates services and data from third-party providers. We are not responsible for third-party service availability, data quality, outages, pricing changes, policy changes, or technical failures. Your use of third-party services may also be subject to their own terms.

22. Suspension and Termination

We reserve the right to suspend or terminate Accounts at our sole discretion, including for fraud, payment disputes, chargebacks, abuse, unauthorized automation, excessive system usage, account sharing, or violation of these Terms. Termination may occur without prior notice where reasonably necessary to protect the platform or other users. Upon termination, your right to access the Services immediately ends.

23. Disclaimer of Warranties

The Services are provided "AS IS" and "AS AVAILABLE," without warranties of any kind, whether express or implied. To the fullest extent permitted by applicable law, Quantick disclaims all implied warranties, including warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, and that the Services will be uninterrupted or error-free. Use of the Services is entirely at your own risk.

24. Limitation of Liability

To the fullest extent permitted by law, Quantick, its owners, employees, affiliates, licensors, and partners shall not be liable for any direct, indirect, incidental, consequential, special, punitive, or exemplary damages arising from trading losses, investment losses, lost profits, lost opportunities, data inaccuracies, delayed market data, platform downtime, technical failures, third-party service interruptions, or reliance on information provided by the Services.

To the maximum extent permitted by applicable law, Quantick's total aggregate liability arising out of or relating to the Services or these Terms shall not exceed the greater of USD 999 or the total Subscription fees actually paid by you to Quantick during the 12 months immediately preceding the event giving rise to the claim.

Nothing in these Terms excludes or limits any liability that cannot be excluded or limited under applicable law, including liability for fraud, willful misconduct, or death or personal injury caused by negligence.

25. Indemnification

You agree to indemnify and hold harmless Quantick, its affiliates, employees, contractors, and partners from any claims, liabilities, damages, losses, or expenses arising from your use of the Services or your violation of these Terms.

26. Force Majeure

Quantick shall not be liable for any failure, delay, interruption, or degradation of the Services caused by circumstances beyond its reasonable control, including internet or telecommunications failures, cloud or hosting outages, exchange or market-data interruptions, third-party service failures, cyber incidents, natural disasters, governmental actions, labor disputes, or other events of force majeure.

27. Electronic Communications

By creating an Account or using the Services, you consent to receive electronic communications from Quantick relating to your Account, Subscriptions, transactions, security, service updates, and other matters concerning the Services. Electronic notices and records may satisfy any legal requirement that such communications be provided in writing.

28. Changes to These Terms

We may modify these Terms at any time. Updated versions will be published on this page with a revised effective date. Your continued use of the Services after any changes constitutes acceptance of the updated Terms.

29. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States of America, without regard to its conflict-of-law principles.

30. Dispute Resolution

Any dispute, claim, or controversy arising out of or relating to these Terms or the Services shall be resolved by the state or federal courts located in the State of Delaware, United States of America, and you consent to the personal jurisdiction of such courts. Nothing in this clause deprives you of the protection of any mandatory consumer-protection laws of your country of residence, including any right you may have to bring proceedings in your local courts.

31. Assignment

You may not assign or transfer your rights or obligations under these Terms without Quantick's prior written consent. Quantick may assign or transfer these Terms, in whole or in part, in connection with a merger, acquisition, restructuring, sale of assets, or other corporate transaction.

32. Entire Agreement

These Terms, together with the Privacy Policy, the Refund and Cancellation Policy, and any other policies expressly incorporated by reference, constitute the entire agreement between you and Quantick regarding the Services and supersede all prior or contemporaneous agreements concerning the same subject matter.

33. Severability

If any provision of these Terms is determined to be invalid, unlawful, or unenforceable, that provision shall be enforced to the maximum extent permitted by law, and the remaining provisions shall remain in full force and effect.

34. No Waiver

Quantick's failure to enforce any provision of these Terms shall not constitute a waiver of its right to enforce that provision or any other provision in the future.

35. Survival

Provisions that by their nature should survive termination of these Terms shall survive, including provisions concerning intellectual property, payments, disclaimers, limitations of liability, indemnification, dispute resolution, and applicable restrictions on use.
